    Welcome, and thank you for your interest in Amplify ("Amplify," "we," or "us") and our website at amplifypotential.ai, along with our related websites, networks, and applications (collectively, the "Service"). These Terms of Service form a legally binding agreement between you and Amplify regarding your use of the Service.

    PLEASE READ THE FOLLOWING TERMS CAREFULLY.

    By clicking "I Accept" or accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms, including Amplify's Privacy Policy. If you do not agree, you are not permitted to use the Service.

    ARBITRATION NOTICE: Except as described in Section 17, disputes under these Terms will be resolved through binding individual arbitration. You and Amplify each waive the right to a jury trial or participation in any class action.

    1. Service Overview

    Amplify is a platform designed to help anyone create and deliver cohort-based courses at scale. Our mission is to democratize cohort-based learning by combining live and asynchronous components for an engaging student experience.

    2. Eligibility

    You must be at least 13 years old to use the Service. By agreeing to these Terms, you confirm that you meet this requirement, have not previously been removed from the Service, and that your use complies with all applicable laws.

    3. Accounts & Registration

    To access most features, you must create an account. You agree to provide accurate, up-to-date information. You are solely responsible for maintaining the confidentiality of your account and password. Sharing account access with others is prohibited and may result in suspension. If you suspect unauthorized access, contact us immediately at hello@amplifypotential.ai.

    4. Payments

    Pricing: Instructors set their own course prices. Amplify will provide advance notice of any fee changes. Prices shown do not include applicable taxes.
    Authorization: By making a purchase, you authorize Amplify and its payment processors to charge your selected payment method for all applicable fees and taxes.
    Delinquent Accounts: Amplify may suspend or terminate access for any unpaid amounts. Additional collection or chargeback fees may apply.

    5. Licenses

    Limited License: Amplify grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes only.
    Restrictions: You may not reproduce, distribute, reverse engineer, resell, or otherwise misuse the Service or any content available through it.
    Feedback: Any feedback or suggestions you provide may be used by Amplify freely and without compensation or attribution.

    6. Ownership & Intellectual Property

    All materials on the Service — including graphics, code, software, and design — are owned by Amplify or its licensors. Instructors retain ownership of their course content. Unauthorized sharing or distribution of course content constitutes copyright infringement and may result in legal action.

    7. Third-Party Services

    The Service may include links or integrations with third-party platforms. Amplify is not responsible for the content or practices of any third-party services. Use of such services is at your own risk.

    8. User Content

    You retain ownership of content you upload. By posting content, you grant Amplify a worldwide, royalty-free license to host, display, and distribute it. You are solely responsible for ensuring your content does not infringe any third-party rights or violate these Terms. Amplify reserves the right to remove any content at its sole discretion.

    9. Communications

    SMS: Amplify may send operational and marketing text messages to the number you provide. You may opt out at any time by emailing hello@amplifypotential.ai. Standard message and data rates may apply.
    Email: Amplify may send promotional and operational emails. You may unsubscribe from promotional emails via the unsubscribe link in the email.

    10. Prohibited Conduct

    You agree not to:

    • Use the Service for any unlawful purpose
    • Harass, threaten, or harm other users
    • Infringe any third-party intellectual property rights
    • Attempt to reverse engineer or tamper with the Service
    • Record or screen-capture course content without authorization
    • Livestream any course on third-party platforms
    • Engage in fraud, impersonation, or unauthorized data collection

    11. Copyright Infringement (DMCA)

    Amplify respects intellectual property rights. To report infringement, contact us at hello@amplifypotential.ai or by mail: Amplify Attn: Legal Department (Copyright Notification), 10900 Research Blvd Ste 160C PMB 3086, Austin, TX 78759. Your notice must include a description of the infringed work, location of the infringing material, your contact details, and a statement of good faith belief. Repeat infringers will have their accounts terminated.

    12. Modifications to Terms

    Amplify may update these Terms with 7 days' notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

    13. Termination

    Amplify may suspend or terminate your account at any time, for any reason, with or without notice. You may terminate your account by contacting hello@amplifypotential.ai. Upon termination, your license to use the Service ends immediately.

    14. Indemnification

    You agree to defend and indemnify Amplify and its affiliates against any claims arising from your misuse of the Service, violation of these Terms, or infringement of third-party rights.

    15. Disclaimers

    The Service is provided "as is" and "as available." Amplify makes no warranties, express or implied, regarding the Service's reliability, accuracy, or fitness for a particular purpose.

    16. Limitation of Liability

    Amplify's total liability to you shall not exceed the greater of the amount you paid to Amplify in the 12 months preceding the claim, or $100. Amplify is not liable for any indirect, incidental, or consequential damages.

    17. Dispute Resolution & Arbitration

    Disputes will be resolved through binding arbitration under the American Arbitration Association's Consumer Arbitration Rules. Arbitration will take place in Travis County, Texas. You and Amplify each waive the right to a jury trial or class action. You may opt out of arbitration within 30 days of accepting these Terms by writing to us at the address above.

    18. General

    Governing Law: These Terms are governed by the laws of the State of Texas.
    Entire Agreement: These Terms, together with the Privacy Policy, constitute the full agreement between you and Amplify.
